Terms of Service

1. Who We Are

Exist Online is a trading name of Kamil Wozniak, a sole trader registered in England. Our headquarters are in Wigston, Leicestershire. You can contact us at hello@existonline.co.uk.

In these terms, "we", "us", and "our" refer to Exist Online. "You" and "your" refer to the client purchasing our services.

2. What We Do

We design and build websites for UK small businesses and tradespeople. Our core packages are:

Starter Site: £299 one-off. 3-page website with mobile-responsive design, basic SEO, and contact form.

Growth Site: £599 one-off. Up to 8 pages with full SEO, local search optimisation, blog scaffold, and analytics dashboard.

Care Plan: £29/month. Hosting, SSL, weekly backups, priority support, professional email, and free domain renewal.

Express (+£49) and Rush (+£99) delivery upgrades are available on both packages. Add-on services (Google Business Listing, Logo Design, Social Media Kit, Content Pack, Google Ads management) are priced separately and listed on our website. Logo Design includes 2 concepts and 2 rounds of revisions; complete redesigns after concept approval are treated as a new project.

3. How Payment Works

3.1 Pay in Full

Our standard model is pay upfront. You select a package, we agree a scope document listing exactly what you will receive, and you pay the full amount via Stripe before we begin work. All major debit and credit cards are accepted.

3.2 Payment Plan (3 Monthly Instalments)

We offer an interest-free payment plan on all website packages. The total cost is split into 3 equal monthly payments, charged automatically to your card via Stripe. No credit check is required and no third-party lender is involved. The arrangement is directly between you and Exist Online.

The total price is the same whether you pay in full or choose the payment plan.

If a scheduled payment fails, Stripe will retry automatically up to 3 times over 14 days. If payment remains outstanding after this retry period, we reserve the right to suspend your website until the balance is settled (see Section 5).

3.3 Care Plan

The Care Plan is a monthly subscription billed via Stripe. You can cancel at any time with 30 days' notice. Upon cancellation, hosting will remain active until the end of your current billing period, after which you are responsible for arranging your own hosting.

4. Satisfaction Guarantee & Refunds

Before we begin any work, we agree a scope document with you that lists exactly what will be delivered. Revisions are included as standard.

If we cannot deliver the agreed scope, you receive a full refund. The risk is on us, not you.

4.1 The 14-Day Review Window

When we deliver your finished website for review, you have 14 days to check it against the agreed scope and flag any issues. We will resolve any valid scope issues at no extra cost during this window.

If you do not raise any scope issues within 14 days of delivery, the project is considered accepted and approved. This applies whether you paid in full or by instalment.

4.2 Refunds for Pay-in-Full Clients

If we fail to deliver the agreed scope and cannot resolve the issue within the 14-day review window, you receive a full refund. Refund requests must be made in writing to hello@existonline.co.uk. Refunds are processed within 5 to 10 working days to the original payment method.

4.3 Refunds for Payment Plan Clients

Before work begins: if you cancel before we start building, we refund everything you have paid and cancel the remaining instalments. No questions asked.

During the 14-day review window: if we fail to deliver the agreed scope, we refund everything you have paid so far and cancel the remaining instalments.

After approval: once the 14-day review window has closed (either by your written approval or by no issues being raised), the project is considered delivered and accepted. All remaining scheduled instalments are confirmed and non-refundable.

4.4 When Refunds Do Not Apply

Refunds do not apply where the agreed scope has been delivered and approved, where you change your mind about the design after approving it, or where delays are caused by you failing to provide required content or feedback within a reasonable timeframe.

5. Ownership & Intellectual Property

Key point: All website files, code, and design assets remain the intellectual property of Exist Online until the final scheduled payment has been received in full. Upon receipt of final payment, full ownership and perpetual usage rights transfer to you.

5.1 What This Means for Payment Plan Clients

If you are paying by instalment, your website will be built and can go live after your first payment clears. However, legal ownership of the website files does not transfer until your final instalment is received.

If any instalment payment remains outstanding for more than 14 days past its due date, we reserve the right to:

• Suspend the website (take it offline temporarily)

• Withhold domain transfer until the balance is settled

• Withhold source code files until the balance is settled

We will always contact you in writing before taking any of these steps and give you a reasonable opportunity to resolve the payment issue.

5.2 After Full Payment

Once all payments are received, you own everything: your website code, your design, your content. No lock-in. No proprietary CMS. If you decide to leave, we will provide a full handover of all files, domain transfer authorisation codes, and any credentials within 7 working days of your request.

5.3 Domain Names

Where we register a domain name on your behalf (included in the Care Plan), the domain is registered in our registrar account and managed by us. Upon full payment and upon request, we will transfer the domain to your own registrar account at no additional cost. If you are on a Care Plan, domain renewal is included for the duration of your subscription.

6. Delivery Timelines

Standard delivery for a Starter Site is 5 working days. Standard delivery for a Growth Site is 10 working days. Express and Rush delivery options are available for faster turnaround.

Delivery timelines begin from the date we receive both full payment (or first instalment) and all required content from you (text, images, logo, and access credentials). Delays caused by late content provision from the client do not constitute a breach of our delivery promise.

7. Your Responsibilities

To deliver your website on time, we need you to:

• Provide accurate business information, text content, and any images or logos

• Respond to review requests and revision feedback within 5 working days

• Provide domain access or DNS credentials if you own an existing domain

• Ensure all content you provide is your own or you have permission to use it

If we do not receive required content within 30 days of your order, we reserve the right to mark the project as complete based on placeholder content and proceed to final delivery.

8. What We Do Not Do

• We do not build sites using WordPress, Wix, Squarespace, or any third-party website builder

• We do not provide legal, financial, or regulatory advice

• We do not guarantee specific search engine rankings or business results

• We do not store or process credit card information directly. All payments are handled securely by Stripe

9. Limitation of Liability

To the maximum extent permitted by law, Exist Online's total liability arising from or in connection with these terms shall not exceed the total amount you paid for the service in question.

We are not liable for any loss of profit, loss of business, loss of data, or any indirect or consequential loss arising from the use of our services.

Nothing in these terms limits or excludes our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Changes to These Terms

We may update these terms from time to time. The "last updated" date at the top of this page will always reflect the latest version. If we make material changes that affect your existing agreement, we will notify you by email.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
